Chapter 8: Who Is the Trustee
The shareholder meeting was held in the small boardroom at two on Thursday.
There were seven chairs around the table.
I sat at the head, as the majority holder, with fifty-two percent.
Ben sat on my left with twenty-two.
Two of our early investors, a married couple who had put in the first real money, sat across from him.
Valeria took the chair at my right, a leather folder in front of her and her hair freshly done.
The corporate lawyer, a thin man who billed by the quarter hour, stood by the window.
At the foot of the table, in the one seat nobody had assigned, sat Ines.
She had come in at two exactly, wearing a plain navy dress, her notebook closed on her knee.
"She's here as the operations lead," Ben said when Valeria looked at him. "Standing policy. Operations has sat in on every meeting since the company started."
"Of course," Valeria said, smiling. "We want everyone included."
The lawyer cleared his throat and began.
He described the motion in a few dry sentences.
It would transfer Dex Lowell's fifty-two percent into the Lowell Family Trust, to be managed by its trustee on his behalf, effective at the close of the meeting.
"The purpose," Valeria added, "is to keep the company stable through a personal transition. It's a family structure. It protects Dex, and it protects every one of you."
The investors nodded.
Ben did not.
"Who benefits?" he asked.
"Everyone."
"Name one person."
"Dex does," Valeria said patiently. "I do. The company does."
