Chapter 20: What the Napkin Says
The board of Callender Capital sat down at nine on Friday, in the committee room on thirty-four.
There were seven of them, in gray and navy, with the letter on the table in front of every one.
Merrill sat at the foot with his own lawyer, a pink man in a three-piece suit.
He had kept a small block of Callender stock from the sale, and the bylaws said a shareholder could be heard.
I sat against the wall, in a plastic chair, with the napkin in my pocket and my hands folded.
Reed sat in the chair he'd had at the committee, with no cup in front of him.
The lead director, a woman with iron hair, tapped the letter.
"Mr. Dunwoody's counsel alleges that the chief executive is compromised in the Calder transaction," she said. "That his relationship with an employee amounts to an exchange. And that this document, a photograph of a napkin, proves it was arranged in advance."
"It proves a contract," the pink lawyer said.
He held up the photograph.
"Five terms. Duration, thirty nights. A termination clause. A prohibition on discussing work. Signed by both parties on the night the sale closed. Gentlemen, a woman does not write a thirty-night agreement with the buyer of her employer by accident."
