Chapter 18: Eighteen Million
Greta and the man she loves came to the brewery the next morning with a box of croissants.
We sat around Emmett's scarred wooden table with coffee, and the man she loved said nothing at all for ten minutes.
He ate three croissants, listened closely, and every so often squeezed Greta's hand.
"He doesn't talk much," Greta said.
"I noticed."
"He talks to the dough."
"That's the correct person to talk to," said Emmett.
The man she loved nodded once, solemnly, and took a fourth croissant.
I laughed so hard I had to put my coffee down.
Then Greta spread a single sheet of paper on the table.
"This is my mother's will," she said. "The summary page. She died when I was fourteen. Her shares in Voigt Spirits, forty percent, came to me at twenty-five."
"You own forty percent," Emmett said slowly.
"I own it. I never used it. I thought if I stayed quiet, I'd get to bake."
"What does it say?"
"Here." She pointed to a line. "My mother didn't trust my father with money. She put a clause in the shareholder agreement. Any loan from the company above ten million dollars needs the written consent of her block."
"Consent."
"Or a veto."
I stared at the line.
"Does that include the Rausch note?"
"It was eighteen million. My father got my consent in writing three years ago, when I was twenty-six. I signed it without reading. I assumed it was a birthday card."
Emmett leaned back.
"So the note is valid."
"The note is valid. But my mother wrote one more sentence." She read it aloud. "'A loan may be called, accelerated or enforced only with the consent of the shareholder block that approved it, spoken aloud in the presence of the board.'"
"Spoken aloud," I said.
"My mother liked to make people look her in the eye. If my father calls the note on the ninth, in front of his board, I have to be in the room. And I have to say I consent."
"Or don't."
"Or don't. And without it, he can't enforce it."
I put a hand over my mouth.
