Chapter 30: Thirty Percent
On Friday at noon, a courier in a bakery apron climbed the stairs with an envelope.
It was cream-colored and heavy, and it was not from Ross Group.
The return address was a plain box number.
Inside was a letter on a single sheet, in a hand Evan knew better than his own.
*Mr. Green. I would like to buy thirty percent of Spark One at a price you set. The attached terms are a draft. Strike anything. I will be at the café under your flat at four, at the corner table. If you do not come, I will not call. E.R.*
Under the letter, clipped, were nine pages.
He read them standing at the radiator.
Then he read them again, slowly, with a pen.
At four he went down.
The café smelled of cinnamon and wet coats.
Ethan sat at the corner table, with a cup of weak tea at his elbow.
He stood when Evan came in, and sat only when Evan did.
"You wrote nine pages," Evan said.
"My lawyer wrote twenty-two. I threw out thirteen."
"Why?"
"They protected me."
Evan laid the pages on the table and uncapped his pen.
"Clause one."
"Thirty percent, at the valuation you named in the term sheet you haven't sent anyone. I guessed."
"Your guess is low."
"Then raise it."
"Clause two. A board seat."
"There isn't one."
"I see that. I see you struck it, and a vote, and a veto, and a right of first refusal." Evan looked up. "Your lawyer will have hated it."
"She resigned."
"Ethan."
"She came back. We've negotiated." He turned his cup. "She said a man who buys a third of a company and takes no say is an idiot."
"What did you say?"
"That I'd had a say once, and I'd cost you a floor of Ross tower."
Evan found, to his annoyance, that his mouth had gone dry.
He turned a page.
"Clause six. 'The Investor shall not request, directly or indirectly, any personal contact with the Founder outside agreed business meetings.'"
