Chapter 18: Terms

We sat at a metal table in the lobby café with two paper cups going cold between us.

Dash did not touch his.

He sat with his hands under the table.

I opened the folder.

The first page was a term sheet, typed, with the Helix Loop logo at the top.

Co-founder and Chief Technology Officer, Juno Shin.

Below that, a number sat next to my name, and the number was twenty percent.

"It comes out of my shares," Dash said. "Not the option pool. Mine."

"You're giving me a fifth of your company."

"I'm giving you a fifth of what you built. I'm not sure that's a gift."

I turned the page.

Under the equity was a board seat, and under the board seat was a paragraph I read twice.

"At any time," it said, "the CTO may call a vote on the role of the Chief Executive Officer."

"You wrote that?"

"Over the weekend. My lawyer told me it was insane."

"Did you listen?"

"I fired him," Dash said, "and hired one who doesn't think I'm insane."

The last page was a board resolution with a signature line already signed.
